1. Agreement to Terms

By accessing or using the website and services of SongStudio ("SongStudio", "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree, you may not use the Service. We may modify these Terms at any time; we will post the updated Terms on this page and update the "Last updated" date. Your continued use after changes constitutes acceptance. Material changes may be communicated by email or a notice on the site.

2. Description of Service

SongStudio provides a platform for ordering custom, personalized songs created from information you provide (e.g., recipient, occasion, stories, preferences). Our team or our technology may use automated and human processes, including artificial intelligence, to generate lyrics and music. Deliverables are provided in digital format (e.g., audio file, lyrics) according to your selected delivery tier and any add-ons. We reserve the right to modify, suspend, or discontinue any part of the Service with reasonable notice where feasible.

3. Eligibility and Account

You must be at least 18 years of age (or the age of majority in your jurisdiction) to use the Service. By using the Service, you represent that you meet this requirement and have the legal capacity to enter into these Terms. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must provide accurate and complete information when creating an account or placing an order. You must notify us promptly of any unauthorized use of your account.

4. Orders, Payment, and Delivery

When you place an order, you agree to pay the stated price for the selected delivery tier and any add-ons. Payment is processed through our designated payment provider. All fees are in the currency displayed at checkout. We will use reasonable efforts to deliver your song by the estimated deadline; delivery times are estimates and not guaranteed. Refunds and cancellations are governed by our refund policy (see Section 8). You grant us a license to use the content you submit (stories, recipient details, etc.) solely to create and deliver your order and to operate the Service.

5. Your Content and Conduct

You retain ownership of the content you submit. You represent that you have the right to provide such content and that it does not infringe any third party's rights or violate any law. You must not submit content that is defamatory, obscene, harassing, or otherwise unlawful. We may remove content or suspend or terminate your access if we believe you have violated these Terms or applicable law. We are not obligated to monitor content but may do so.

6. Intellectual Property and License to You

The Service, including its design, text, graphics, and software (excluding your content and the custom deliverables created for you), is owned by us or our licensors and is protected by intellectual property laws. Subject to your payment and compliance with these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Service for personal, non-commercial use. The custom song and lyrics delivered to you are created for you; we grant you a license to use, download, and share that deliverable for personal, non-commercial purposes (e.g., gifting, personal playback). Commercial use of deliverables may require a separate agreement; contact us for details.

7. AI-Generated Content and No Warranty

Our Service may use automated systems, including artificial intelligence, to generate lyrics and music. Output may vary and we do not guarantee that generated content will meet any particular standard or preference. The Service and all deliverables are provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

8. Refunds and Cancellations

Refund and cancellation policies may vary by order and jurisdiction. Generally: you may request a refund or cancellation before we have substantially begun production (e.g., before lyrics or music generation has started). Once production has begun, refunds may be limited or unavailable. If you have a concern about your order, contact us at support@songstudio.com as soon as possible. We will handle requests in good faith and in accordance with applicable consumer protection laws.

9. Limitation of Liability

To the maximum extent permitted by applicable law, SongStudio, its affiliates, and its and their directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages (including loss of profits, data, or goodwill) arising out of or related to your use of the Service or these Terms, whether based on warranty, contract, tort (including negligence), or any other theory. Our total liability for any claims arising from or related to the Service or these Terms shall not exceed the amount you paid to us in the twelve (12) months preceding the claim, or one hundred United States dollars (USD 100), whichever is greater. Some jurisdictions do not allow the exclusion or limitation of certain damages; in such jurisdictions, our liability will be limited to the greatest extent permitted by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless SongStudio, its affiliates, and its and their directors, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your content or conduct; (c) your violation of these Terms or any law; or (d) your violation of any third party's rights.

11. Termination

We may suspend or terminate your access to the Service at any time, with or without cause or notice, including for violation of these Terms. You may stop using the Service at any time. Upon termination, your right to use the Service ceases. Provisions that by their nature should survive (including Sections 6–10 and this sentence) will survive termination.

12. Disputes and Governing Law

These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict of law principles. Any dispute arising from these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction there. You waive any right to a jury trial and to participate in a class action. If you are a consumer in the European Union or another jurisdiction with mandatory consumer protection laws, your statutory rights remain unaffected and you may bring claims in the courts of your residence where required by law.

13. General

These Terms, together with our Privacy Policy and any order-specific terms, constitute the entire agreement between you and us regarding the Service. Our failure to enforce any right or provision is not a waiver. If any provision is held invalid, the remaining provisions remain in effect. We may assign these Terms; you may not assign without our prior written consent. Headings are for convenience only.
